Acceptance of Terms

By accessing or using the Visora platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service. These terms constitute a legally binding agreement between you and Visora regarding your use of the platform.

Description of Service

Visora is a cloud-based digital signage platform designed for the restaurant and hospitality industry. Our services include a visual content editor, TV pairing and management, scheduling tools, real-time event broadcasting, and media library management — all designed to help you create and deliver engaging content to physical displays in your venues.

03.

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during the registration process. Visora is not liable for any loss or damage arising from your failure to comply with these security obligations.

04.

Acceptable Use

You agree not to use the service for any unlawful purpose or to upload content that is offensive, harmful, or infringes on the rights of others. Prohibited activities include uploading malicious code, attempting to access other users' accounts, reverse-engineering the platform, or using the service to distribute content that violates any applicable law. We reserve the right to terminate your access for violating any of these terms.

Intellectual Property

The Visora platform, including its design, features, and functionality, is the exclusive property of Visora and its licensors. You retain ownership of the content you create and upload through the platform. By uploading content, you grant Visora a limited license to store, process, and display that content solely for the purpose of providing the service to you.

User Content & Responsibility

You are solely and exclusively responsible for all content you upload, create, schedule, broadcast, or display through Visora — including text, images, video, audio, prices, promotions, menus, and any third-party material. Visora is a neutral technology provider: we do not create, monitor, pre-screen, review, endorse, or control the content shown on your displays, and we assume no responsibility or liability for it. What you choose to display is entirely your decision. You represent and warrant that you own or have obtained all rights, licenses, consents, and permissions necessary for the content you display, and that such content — and the manner in which you use the platform — complies with all applicable laws and regulations, including those governing advertising, intellectual property and copyright, consumer protection, price accuracy, food and beverage labeling, health and safety, and the rights of any third party. You alone are responsible for how you and the members of your organization use the platform and for any consequences arising from it. To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Visora and its owner, employees, contractors, and affiliates from and against any and all claims, demands, disputes, damages, losses, liabilities, fines, penalties, or expenses (including reasonable attorneys' fees) arising out of or related to the content you display or your use or misuse of the platform.

Payment & Billing

Subscription fees are billed in advance on a recurring basis. Your subscription will automatically renew at the end of each billing period unless you cancel through your account settings or by contacting support. All payments are processed securely through Stripe. Fees are non-refundable except where required by law. If you add extra TV seats or upgrade your plan, charges will be prorated for the remaining billing period.

Limitation of Liability

In no event shall Visora, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the platform. Without limiting the foregoing, and to the maximum extent permitted by law, Visora bears no responsibility or liability whatsoever for the content you or your organization choose to upload, schedule, or display on your screens, for the way you use the platform, or for any third-party, consumer, governmental, or regulatory claim arising from that content or use — all of which remain your sole responsibility.

09.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the service will cease immediately. You may cancel your account at any time through your account settings. All provisions of these Terms which by their nature should survive termination shall survive.

10.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, via email or a prominent notice within the platform. Your continued use of the service after changes become effective constitutes acceptance of the revised terms.
